Engagement model

How we work

One team from first diagnostic to financial close — we do not hand the mandate on at the structuring stage.

  1. 01

    Diagnostic

Commercial, legal and fiscal review of the asset. An honest assessment of whether it is financeable, and on what terms.

  2. 02

    Structure

Transaction architecture, jurisdiction and vehicle selection, risk allocation and the government support package.

  3. 03

    Prepare

Financial model, information memorandum, data room and the due-diligence pack institutional investors require.

  4. 04

    Engage

Targeted approach to a defined investor list. Process management, Q&A, site visits and term-sheet negotiation.

  5. 05

    Close

Documentation, conditions precedent, regulatory approvals and financial close alongside counsel and lenders.

Fees are structured as a modest or at-risk diagnostic followed by success-based placement fees, so the majority of our economics sit behind financial close.

Let us look at the structure

Most conversations start with a short diagnostic: is the project financeable as it stands, what would have to change, and which pools of capital would realistically look at it.
